TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Nutriiya Health Intelligence Private Limited, a company incorporated under the laws of India, having its registered office at 313, FLR-3, Parvati Industrial Estate, Sun Mill Compound, Delisle Road, Mumbai – 400013, Maharashtra, India (“Nutriiya”, “Company”, “we”, “us”, or “our”).

These Terms govern your access to and use of the Nutriiya mobile application, website, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

1. DEFINITIONS

• “Services” means all products, applications, features, AI tools, and services provided by Nutriiya
• “User Content” means any data, text, images, health inputs, or other materials submitted by you
• “AI Output” means any recommendation, insight, or response generated by Nutriiya systems
• “Applicable Laws” means all laws, rules, and regulations applicable to your use of the Services

2. ELIGIBILITY

You must be at least 16 years old to use the Services. If you are under 16, use is permitted only with parental or legal guardian consent.

By using the Services, you represent and warrant that you meet these requirements.

3. ACCOUNT REGISTRATION & SECURITY

You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Keep your login credentials secure

You are solely responsible for all activities under your account. Nutriiya shall not be liable for unauthorized access resulting from your failure to secure your account.

4. SCOPE & NATURE OF SERVICES

The Services are intended solely for general wellness, lifestyle tracking, and informational purposes.

Nutriiya does not:

• Provide medical advice, diagnosis, or treatment
• Act as a licensed healthcare provider
• Guarantee any health outcomes

You acknowledge that any decisions you make based on the Services are made at your own discretion and risk.

5. AI SYSTEMS & OUTPUT DISCLAIMER

Nutriiya uses artificial intelligence and automated systems to generate outputs.

You acknowledge and agree that:

• AI Outputs may be inaccurate, incomplete, or outdated
• Outputs depend entirely on User Content provided
• Nutriiya does not guarantee correctness, reliability, or suitability

AI Outputs are provided strictly on an “as is” basis and must not be relied upon as professional advice.

6. USER RESPONSIBILITIES

You agree that:

• You will provide accurate and truthful information
• You will not rely solely on the Services for critical decisions
• You will consult professionals where required

You are solely responsible for any consequences arising from:

• Incorrect inputs
• Misinterpretation of outputs
• Health or lifestyle decisions

7. THIRD-PARTY SERVICES

The Services may integrate with third-party services, including but not limited to:

• Payment gateways
• Health tracking devices
• Analytics platforms

Nutriiya:

• Does not control third-party services
• Makes no warranties regarding their functionality
• Shall not be liable for any loss or damage caused by third-party services

8. DATA PRIVACY & CROSS-BORDER TRANSFER

Your use of the Services is governed by our Privacy Policy.

By using the Services, you consent to:

• Collection and processing of personal data
• Storage on secure servers
• Transfer of data across jurisdictions

We implement reasonable security practices but do not guarantee absolute security.

9. SUBSCRIPTIONS, PAYMENTS & TAXES

• Certain Services require paid subscriptions
• Billing may be recurring based on your selected plan
• Payments are processed through third-party providers
• All fees are non-refundable unless required by law
• Taxes may apply depending on jurisdiction

Failure to pay may result in suspension or termination.

10. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Services remain the exclusive property of Nutriiya.

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

11. USER CONTENT & LICENSE

You retain ownership of your User Content.

However, you grant Nutriiya a worldwide, perpetual, irrevocable, royalty-free license to:

• Store, process, and analyze content
• Improve Services and AI models
• Use anonymized data for research and analytics

12. PROHIBITED USE

You agree not to:

• Violate any laws
• Exploit the Services commercially without permission
• Reverse engineer the platform
• Upload harmful or misleading content
• Attempt unauthorized access

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nutriiya and its affiliates from any claims arising out of:

• Your use of the Services
• Your violation of these Terms
• Any data or content you provide

14. DISCLAIMER OF WARRANTIES

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

Nutriiya disclaims all warranties, including:

• Accuracy or reliability
• Fitness for a particular purpose
• Continuous availability

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Nutriiya shall not be liable for indirect, incidental, or consequential damages
• Nutriiya shall not be liable for health outcomes
• Total liability shall not exceed the amount paid by you in the preceding 12 months

16. TERMINATION

Nutriiya may suspend or terminate access at its sole discretion if:

• You breach these Terms
• Required by law
• Necessary for security reasons

17. INTERNATIONAL USE

You are responsible for compliance with local laws when accessing the Services from outside India.

18. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of India.

All disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.

Courts in Mumbai shall have jurisdiction for interim relief.

19. FORCE MAJEURE

Nutriiya shall not be liable for delays caused by events beyond reasonable control, including natural disasters, cyberattacks, or regulatory actions.

20. SEVERABILITY

If any provision of these Terms is found invalid, the remaining provisions shall remain in full force.

21. WAIVER

Failure to enforce any provision shall not constitute a waiver of rights.

22. CHANGES TO TERMS

We may update these Terms at any time. Continued use constitutes acceptance of revised Terms.

23. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Nutriiya regarding the Services.

24. MARKETPLACE & THIRD-PARTY PRODUCTS

Nutriiya may provide access to products or services offered by third-party partners.

a) Platform Role

Nutriiya acts solely as a technology platform and facilitator and is not the seller of third-party products unless explicitly stated.

b) No Product Liability

Nutriiya shall not be responsible for:

• Product quality, safety, or effectiveness
• Any adverse health reactions
• Delivery delays or fulfillment issues

All such responsibilities lie solely with the respective third-party partner.

c) Transactions

Transactions involving third-party products may be processed through Nutriiya or external providers. Nutriiya is not responsible for transaction failures caused by third-party systems.

d) Disputes

Any disputes regarding third-party products shall be resolved between the User and the respective partner. Nutriiya may assist but is not obligated to intervene.
